Terms and Conditions
1. General Provisions
These Terms and Conditions (“Terms”) govern the relationship between farcom systems s.r.o., Rýmařovská 433, 199 00 Praha 9, Company ID: 05499577 (“Seller”, “we”, “us”) and any individual or legal entity purchasing digital products or services through www.czechpayroll.com (“Website”). By placing an order, the customer (“Customer”, “you”) confirms that they have read, understood, and agree to these Terms.
2. Subject of the Contract
We provide (i) digital products (e.g., guides, e-books, templates, checklists, and similar downloadable materials) and (ii) professional services (e.g., consultations, audits, training, payroll support).
3. Ordering and Contract Conclusion
Orders are submitted via the Website checkout. The contract is concluded once payment is successfully processed and you receive an order confirmation email.
4. Prices and Payment
Prices displayed on the Website are final and inclusive of VAT where applicable. Payment is due in advance using the methods provided (e.g., card, PayPal, bank transfer). The applicable price is the one displayed at the time of your order.
5. Delivery of Digital Products
Digital products are delivered electronically, typically within 48 hours of payment, via a download link or email. You are responsible for having suitable software and internet access to open and use the product.
Non-Refundable Digital Content. Due to the nature of digital content, once access to a digital product has been granted (no later than 48 hours after purchase), you acknowledge and agree that no withdrawal, cancellation, chargeback, or refund is possible. Digital products are deemed fully delivered and accessible within 48 hours after purchase.
6. Provision of Services
Services (e.g., consultations, audits, training) are provided on the agreed date/time, usually online. If you cancel less than 24 hours before the scheduled time or fail to attend, the fee is non-refundable.
7. Right to Accept or Decline Engagements
We reserve the right, at our sole discretion, to accept or decline any request for collaboration, order, or scope of work. Reasons may include, without limitation: capacity constraints; subject-matter misalignment; conflicts of interest; confidentiality or NDA obligations; legal, regulatory, or ethical concerns; unacceptable compliance or reputational risk; inability to meet the requested timeline or quality standard; or non-payment/insufficient information. No offer to collaborate shall be deemed accepted until we confirm in writing (e.g., order confirmation, email, or countersigned statement of work). We may request pre-payment, a deposit, identity/Company verification, or additional details before acceptance, propose an alternative scope or timeline, or refer you to another provider.
8. Defects, Support, and Remedies
If a digital product is defective (e.g., corrupted file, missing content), notify us without undue delay at contact@czechpayroll.com. We will provide a working replacement or an alternative reasonable remedy. We are not responsible for compatibility issues with your devices, operating systems, or software.
9. User Responsibility and Compliance
All materials and services are provided for informational and educational purposes. You remain solely responsible for how you use the information, for compliance with applicable laws and regulations, and for decisions you make based on our materials or advice.
10. Intellectual Property
All digital products, training materials, and deliverables are protected by copyright and related rights. Unless expressly permitted in writing, redistribution, resale, public sharing, or sublicensing is prohibited. Materials are licensed for your personal or internal company use only.
11. Limitation of Liability
To the maximum extent permitted by applicable law: (a) we shall not be liable for any indirect, incidental, special, punitive, or consequential damages; (b) we shall not be liable for loss of profits, revenue, business, data, or goodwill; and (c) our aggregate liability arising out of or relating to the Terms, the products, or services shall not exceed the amount actually paid by you for the specific product or service giving rise to the claim.
12. Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, civil disturbance, labor disputes, utility failures, widespread internet or hosting outages, third-party platform incidents, or changes in law or governmental actions.
13. Termination and Suspension of Access
We may suspend or revoke access to digital products or services, without refund, if we reasonably determine that you violate these Terms, infringe our intellectual property, engage in fraud, abuse, or share access beyond the licensed scope.
14. Personal Data Protection
We process personal data in accordance with applicable data protection law and our Privacy Policy available on the Website. For data requests, contact privacy@czechpayroll.com.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Czech Republic. Courts of the Czech Republic shall have jurisdiction over disputes arising hereunder.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. An invalid provision shall be replaced by a valid provision that best reflects the original intent.
17. Changes to the Terms
We may update these Terms from time to time. The version effective at the time of your purchase applies to that transaction. Material changes will be reflected by updating the effective date above.
